Midwest Service Bureau, LLC (“MSB”) is a Kansas-based debt collection agency specializing in the recovery of delinquent accounts across various industries, including healthcare and finance. By engaging MSB’s services, clients agree to the following terms and conditions.

MSB is committed to ethical collection practices and prohibits any form of harassment, misrepresentation, or unfair practices in its operations.

MSB’s compensation is typically based on a contingency fee structure, where fees are a percentage of the amounts successfully collected. Specific fee arrangements will be detailed in a separate agreement between MSB and the client.

MSB maintains strict confidentiality regarding all client and debtor information. Personal and financial data are handled in compliance with applicable privacy laws and MSB’s Privacy Policy.

MSB shall not be liable for any indirect, incidental, or consequential damages arising from its debt collection services, except where such liability is mandated by law.

Either party may terminate the engagement with written notice, subject to the terms outlined in the separate agreement between MSB and the client.

These Terms and Conditions are governed by the laws of the State of Kansas. Any disputes arising under these terms shall be resolved in the appropriate courts within Kansas.

MSB reserves the right to amend these Terms and Conditions at any time. Clients will be notified of significant changes, and continued use of MSB’s services constitutes acceptance of the revised terms.

MSB provides the following services, which may be further specified in a separate service agreement between MSB and the client:

  • Full-service debt collection and accounts receivable recovery
  • Bad debt outsourcing and portfolio management
  • Early-out and self-pay patient collection programs
  • Insurance denial management and appeals
  • Skip tracing and debtor location services
  • Expert portfolio analysis and recovery projections
  • Legal referral and litigation support coordination
  • Real-time reporting, analytics, and client portal access

The specific scope of services, account types, industries, and performance expectations will be detailed in the individual service agreement executed between MSB and each client.

7. Limitation of Liability

To the fullest extent permitted by applicable law, MSB shall not be liable to any client, debtor, or third party for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the services provided under these Terms and Conditions or any related service agreement, including but not limited to damages for loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, regardless of whether such damages were foreseeable or whether MSB was advised of the possibility of such damages.

MSB's total aggregate liability for any and all claims arising out of or related to the services provided under these Terms and Conditions shall not exceed the total fees paid by the client to MSB during the twelve (12) month period immediately preceding the event giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or any other legal or equitable theory.

Nothing in these Terms and Conditions shall limit or exclude MSB's liability for fraud, willful misconduct, gross negligence, or any other liability that cannot be lawfully limited or excluded under applicable law. MSB does not limit its liability for personal injury or death caused by its negligence or the negligence of its employees acting within the scope of their employment.

MSB shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, labor disputes, power failures, telecommunications disruptions, or third-party service provider outages.

9. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, the services provided by MSB, or any related service agreement (collectively, a "Dispute"), the parties agree to follow the dispute resolution procedures set forth in this section before pursuing formal legal action.

Informal Resolution

The parties agree to first attempt to resolve any Dispute through good-faith informal negotiation. The party raising the Dispute shall provide written notice to the other party describing the nature of the Dispute and the relief sought. Within thirty (30) days of receiving such notice, the parties shall meet (in person or by telephone/video conference) to discuss the Dispute and attempt to reach a mutually acceptable resolution. Neither party may initiate formal proceedings until this 30-day informal resolution period has expired.

Mediation

If the Dispute cannot be resolved through informal negotiation, the parties agree to submit the Dispute to non-binding mediation before a mutually agreed-upon mediator in Wichita, Kansas. The costs of mediation shall be shared equally by the parties. Each party shall bear its own attorneys' fees and costs associated with the mediation. The mediation shall be completed within sixty (60) days of the parties' agreement to mediate, unless extended by mutual written consent.

10. Arbitration Clause

If a Dispute cannot be resolved through informal negotiation or mediation as described above, either party may elect to submit the Dispute to binding arbitration. Arbitration shall be conducted in Wichita, Kansas, in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA) then in effect. The arbitration shall be conducted by a single arbitrator selected in accordance with the AAA rules.

The arbitrator shall have the authority to award any relief that would be available in a court of competent jurisdiction, including injunctive relief and specific performance, but shall not have the authority to award punitive or exemplary damages except where expressly authorized by applicable law. The arbitrator's decision shall be final and binding on both parties, and judgment on the award may be entered in any court having jurisdiction.

Each party shall bear its own costs and attorneys' fees in connection with the arbitration, unless the arbitrator determines that the claims or defenses of a party were frivolous or brought in bad faith, in which case the arbitrator may award reasonable attorneys' fees and costs to the prevailing party.

Class Action Waiver: The parties agree that any Dispute shall be resolved on an individual basis only. Neither party shall have the right to bring any claim as part of a class action, collective action, representative action, or consolidated proceeding. The arbitrator may not consolidate more than one party's claims and may not otherwise preside over any form of class or representative proceeding.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of laws principles. To the extent that any Dispute is not subject to arbitration as described above, the parties agree that exclusive jurisdiction and venue shall lie in the state or federal courts located in Sedgwick County, Kansas.

The choice of Kansas law applies to all aspects of the relationship between MSB and the client, including but not limited to the formation, interpretation, performance, and enforcement of these Terms and Conditions and any related service agreements. If any provision of these Terms and Conditions conflicts with mandatory provisions of the law of the client's home jurisdiction, the mandatory provisions shall apply only to the extent required by law, and all other provisions shall remain in full force and effect.

12. Indemnification

The client agrees to indemnify, defend, and hold harmless MSB, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the client's breach of any representation, warranty, or obligation under these Terms and Conditions or any related service agreement; (b) the client's provision of inaccurate, incomplete, or misleading account data to MSB; (c) the client's failure to comply with applicable laws, regulations, or industry standards in connection with the accounts placed with MSB; or (d) any third-party claim that MSB's collection activities on behalf of the client, conducted in accordance with the client's instructions and applicable law, infringed the rights of any third party.

MSB agrees to indemnify, defend, and hold harmless the client from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of MSB's material breach of these Terms and Conditions, MSB's negligence or willful misconduct in the performance of its services, or MSB's violation of applicable federal or state debt collection laws in connection with the collection of accounts placed by the client.

13. Intellectual Property

All intellectual property rights in MSB's technology platform, collection methodologies, scoring algorithms, reporting tools, website content, trademarks, trade names, logos, and proprietary processes (collectively, "MSB Intellectual Property") are and shall remain the exclusive property of MSB. Nothing in these Terms and Conditions or any related service agreement grants the client any license, right, or interest in MSB Intellectual Property, except for the limited right to access and use the client portal and reporting tools for the duration of the service engagement.

The client shall not reverse-engineer, copy, modify, distribute, or create derivative works based on any MSB Intellectual Property. The client shall not use MSB's name, logo, or trademarks in any marketing materials, press releases, or public communications without MSB's prior written consent. Reports and analytics provided by MSB to the client may be used internally by the client for business purposes but may not be published, distributed, or shared with third parties (other than the client's professional advisors) without MSB's written consent.

14. User Conduct

Users of MSB's website and client portal agree to use these resources solely for their intended purposes and in compliance with all applicable laws and regulations. Users shall not:

  • Attempt to gain unauthorized access to any portion of MSB's systems, networks, or data
  • Use automated tools (bots, scrapers, or crawlers) to access, collect, or extract data from MSB's website or portals without written permission
  • Upload, transmit, or distribute any viruses, malware, or other harmful code through MSB's systems
  • Interfere with or disrupt the operation of MSB's website, portals, or services
  • Impersonate any person or entity, or misrepresent their affiliation with any person or entity
  • Use MSB's website or portals for any unlawful purpose or in any manner that could damage, disable, overburden, or impair MSB's systems
  • Share login credentials with unauthorized individuals or allow unauthorized persons to access the client portal

MSB reserves the right to suspend or terminate access to its website and client portal for any user who violates these conduct requirements, without prior notice and without liability.

15. Severability

If any provision of these Terms and Conditions is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable for any reason, such finding shall not affect the validity, legality, or enforceability of any other provision. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties. If the provision cannot be so modified, it shall be severed from these Terms and Conditions, and the remaining provisions shall continue in full force and effect.

The parties agree that if any limitation or restriction on remedies, damages, or claims is found to be unenforceable, it shall be enforced to the maximum extent permitted by applicable law rather than being voided entirely.

16. Changes to Terms

MSB reserves the right to modify, update, or replace these Terms and Conditions at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where applicable, provide notice to active clients via email or through the client portal.

For existing clients with active service agreements, material changes to these Terms and Conditions will become effective thirty (30) days after notice is provided, unless the client objects in writing within that period. If the client objects to the changes and the parties cannot reach agreement on modified terms, either party may terminate the service relationship in accordance with the termination provisions of their service agreement.

For website visitors and prospective clients, continued use of MSB's website after the posting of revised Terms and Conditions constitutes acceptance of the changes. We encourage you to review these Terms and Conditions periodically to stay informed about our current terms.

17. Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any individual service agreement executed between MSB and the client, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, representations, and agreements, whether written or oral. No modification or waiver of any provision of these Terms and Conditions shall be effective unless in writing and signed by both parties.
